1. Who we are

Agent Alla ("Alla", "the Service", "we", "us") is operated by ROILITY, S.L., a company registered in Spain with NIF/CIF B21964564, registered address Avda. Ignasi Wallis 11, Puerta 2, 07800 Eivissa, Illes Balears, España. These Terms govern your use of the Agent Alla website, chat assistant, and — once released — the Agent Alla mobile app.

Agent Alla launches in Spain and is written, like most one-document global terms (Apple's or Anthropic's, for example), to travel with the product as it expands — first across the EU/EEA, and beyond as we add countries. One set of Terms applies everywhere we operate; where a country's mandatory local law gives you additional rights, those rights apply on top of this document, not instead of it.

2. What Agent Alla is

Agent Alla is an AI assistant that discusses real estate investment, taxes, zoning, and financing scenarios in Spain. Its replies are generated by an AI model and are intended as a starting point for your own research, not as a final legal, tax, financial, or investment decision. Alla does not replace a notary, gestor, lawyer, tax advisor, or bank — always confirm anything that affects money, contracts, or legal standing with a qualified professional before acting on it.

3. Accounts

To use certain features you create an account with an email address and password, or by signing in with Google or Apple. You're responsible for keeping your credentials and any device you're signed in on secure, and for all activity under your account. Tell us promptly at the contact address below if you believe your account has been compromised.

Agent Alla is not directed at, and may not be used by, anyone under 18.

4. Subscriptions and payment

Some features require a paid subscription (Pro or Group/Agency plans). Pricing, billing, trial allowances, cancellation, and refund terms are set out separately in our Subscription & Refund Terms, which forms part of these Terms. If you subscribe through the Apple App Store, Apple's own subscription terms also apply to that purchase.

5. Acceptable use

• Don't use Alla to break the law, infringe someone else's rights, or generate content intended to mislead a buyer, seller, or authority.
• Don't attempt to extract, scrape, or resell the underlying model or its outputs as a competing product.
• Don't probe, disable, or bypass rate limits, usage metering, or security controls.
• Don't upload personal data belonging to someone else unless you're authorized to share it with us for the purpose of getting advice about a specific property or deal.

We can suspend or terminate accounts that violate this section.

6. AI-generated content — no warranty of accuracy

Alla is designed to say plainly when it isn't sure of a figure or fact, and to avoid inventing tax rates, bank conditions, or legal details it hasn't been given or hasn't verified. Even so, AI-generated responses can be incomplete or wrong. We don't warrant that any output is accurate, current, or complete, and we aren't liable for decisions made in reliance on it without independent verification.

7. Intellectual property

The Agent Alla name, logo, globe mark, and site design belong to ROILITY, S.L. You keep ownership of what you send Alla (your questions, documents, and data); by sending it to us, you allow us to process it in order to generate a response and to operate and improve the Service, subject to our Privacy Policy.

8. Third-party services

Alla's responses are generated using a third-party AI model provider (Anthropic). Payments are processed by Stripe or, for the mobile app, Apple. We aren't responsible for outages or errors originating in those third-party services, though we'll work to route around them where we can.

9. Termination

You can stop using Agent Alla and close your account at any time. We can suspend or terminate access for violation of these Terms, non-payment, or if required by law. On termination, your right to use the Service ends; sections that by their nature should survive (intellectual property, disclaimers, liability limits, governing law) continue to apply.

10. Limitation of liability

To the extent permitted by law, ROILITY, S.L.'s aggregate liability arising from your use of Agent Alla is limited to the amount you paid us in the twelve months before the claim. We aren't liable for indirect or consequential losses (lost profits, lost deals, etc.). Nothing here limits liability that can't legally be limited, such as liability for fraud or for death or personal injury caused by negligence.

11. Governing law and where this applies

These Terms are governed by Spanish law. Any dispute not resolved informally will be submitted to the courts of the Balearic Islands, Spain, without prejudice to any mandatory consumer- protection venue rules that apply in your favor if you're a consumer.

If you're a consumer habitually resident in another EU/EEA country, mandatory consumer- protection rules of that country still protect you, and you can generally also bring proceedings in the courts of your own country under EU rules on jurisdiction (Regulation (EU) 1215/2012) — nothing above takes that away. As Agent Alla becomes available outside the EU/EEA, we'll add any country-specific terms required there as a clearly labelled addendum, rather than rewriting this document from scratch each time.

12. Changes to these Terms

We may update these Terms as the product changes. We'll post the new version here with an updated date, and — for material changes — try to notify active subscribers in advance.
